Terms of Service

1. Ownership and Operation

  1. CAMVendors is a service operated and owned by Reserve Study Institute, LLC ("Company," "we," or "us").
  2. We may assign or transfer our rights and obligations under these Terms to a successor entity, including a future standalone CAMVendors company, without notice to users.

2. Eligibility

  1. By using CAMVendors, you represent and warrant that you:
    • Are of legal age to form a binding contract,
    • Have the authority to act on behalf of any entity you represent,
    • Are not barred from using the platform by law or regulation.

3. Account Registration and Security

  1. Users must provide accurate, current, and complete information when registering.
  2. You are responsible for maintaining the confidentiality of your account credentials and all activity under your account.
  3. Notify CAMVendors immediately of any unauthorized use of your account or security breaches.

4. Scope of the Service

  1. CAMVendors allows vendors to list services, property managers and board members to request proposals, and affiliates to refer vendors for fees based on vendor spend.
  2. Vendors may pay to rank higher in listings. The pay-to-rank system prioritizes vendors based on payment amount. All vendors are displayed regardless of payment.
  3. Verified vendors receive a Verified Badge and are prioritized in selections. Verification requires a flat fee, renewable periodically.
  4. CAMVendors may modify, suspend, or discontinue any part of the service at its discretion without notice.

5. No Vetting / Due Diligence Disclaimer

  1. CAMVendors does not endorse, verify, or recommend any vendor.
  2. Users are fully responsible for vetting vendors, verifying licenses, insurance, and qualifications, and evaluating service quality.
  3. CAMVendors is not liable for vendor misrepresentation, poor workmanship, or any losses arising from vendor services.

6. User Obligations & Restrictions

  1. Users must not:
    • Submit false, misleading, or fraudulent information
    • Spam or misuse the platform
    • Resell or redistribute listings
    • Impersonate others or misrepresent credentials, licenses, or insurance
    • Extract, scrape, or misuse platform data without authorization
  2. Vendors uploading documentation must ensure accuracy. CAMVendors assumes no responsibility for misrepresentation.

7. Payment, Fees & Refunds

  1. Ranking fees are prepaid and may be set by vendors up to 90 days per period. Renewals are additive.
  2. No refunds will be issued under any circumstances.
  3. CAMVendors reserves the right to modify payment structures at its discretion.

8. Content Ownership & License

  1. By submitting content (including vendor profiles, service descriptions, and documents), users assign full ownership of such content to CAMVendors.
  2. CAMVendors may use, modify, display, distribute, or otherwise exploit content for any lawful purpose.
  3. Users represent that content does not infringe on third-party rights.
  4. Users retain no rights or attribution over content.

9. Use of Data for Service Improvement and AI

  1. By using CAMVendors, you grant the Company a non-exclusive, worldwide, royalty-free license to use any data, content, or information you submit, including vendor listings, pricing data, communications, or uploaded documents, to:
    • Improve CAMVendors services;
    • Develop new products or services, including analytics, AI-based modules, property scoring, underwriting tools, or related services;
    • Train and improve AI or machine learning systems;
    • Aggregate or anonymize data for research, analysis, or commercial purposes.
  2. CAMVendors will not disclose personally identifiable information (PII) to third parties for commercial purposes except as permitted by law.
  3. Users are responsible for ensuring that any information they provide does not violate confidentiality obligations.

10. Intellectual Property

  1. All intellectual property rights in the CAMVendors platform, including software, logos, trademarks, graphics, and content (other than user submissions), are owned by the Company or its licensors.
  2. Users are granted a limited, non-exclusive, non-transferable license to access and use the platform solely in accordance with these Terms.

11. Privacy & Data

  1. Use of CAMVendors is also governed by our Privacy Policy, which describes how we collect, use, and share information.
  2. Users consent to collection and use of information as described therein.

12. No Warranty / As-Is Use

  1. CAMVendors and all listings are provided "as is" and "as available".
  2. CAMVendors makes no warranties regarding accuracy, reliability, completeness, or merchantability of listings or vendor services.

13. Limitation of Liability

  1. CAMVendors is not liable for any direct, indirect, incidental, or consequential damages arising from platform use or vendor services.
  2. Liability, if any, is limited to the amount paid for ranking fees, and users waive all other claims or damages.

14. Third-Party Services

  1. CAMVendors may provide links to third-party websites or services.
  2. CAMVendors is not responsible for content, policies, or performance of third-party services.

15. Termination and Suspension

  1. CAMVendors may suspend or terminate user accounts or listings at its discretion for:
    • Spam, fraud, misrepresentation, or legal violations
    • Conduct harmful to the platform or other users
  2. Terminated listings are archived, not deleted.

16. Governing Law & Dispute Resolution

  1. These terms are governed by the laws of Duval County, Florida.
  2. Disputes may be resolved via courts or arbitration, as legally applicable.

17. Modifications to Terms

  1. CAMVendors may update these terms at any time. Users are responsible for reviewing the current version.
  2. Continued use constitutes acceptance of updated terms. Users may stop using the platform if terms are unacceptable.

18. Indemnification

  1. Users agree to indemnify and hold CAMVendors and Reserve Study Institute, LLC harmless from all claims, liabilities, damages, and expenses arising from their listings, content, or platform use.

19. Feedback

  1. CAMVendors may use user feedback, suggestions, or submissions without restriction for any lawful purpose.

20. Severability

  1. If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
  2. The invalid provision will be replaced with a valid provision that most closely reflects the original intent.

21. Waiver

  1. Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

22. Entire Agreement

  1. These Terms, together with the Privacy Policy and any referenced documents, constitute the entire agreement between users and CAMVendors regarding the platform.
  2. They supersede all prior communications or agreements, whether written or oral.

23. Force Majeure

  1. CAMVendors is not liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, or government actions.

24. Survival

  1. Sections concerning Content Ownership, Use of Data, Intellectual Property, Limitation of Liability, Indemnification, and Severability survive any termination of the Terms or user accounts.
